She has extensive expertise in assisting organisations to achieve their strategic projects, including mergers and amalgamations, governance, commercial matters and regulatory compliance.

Experience

  • Leading merger transactions for clients in the health, community, education, disability, aged care and not-for-profit sectors from planning to implementation, including MOUs, heads of agreement, due diligence, merger deeds, integration support and post-merger actions.
  • Supporting clients to achieve their organisational objectives through strategic projects, including joint service delivery opportunities, implementation of government funded programs, unification and federation initiatives, structural reforms, and regulatory compliance strategies.
  • Preparing and negotiating critical transaction documents, commercial agreements, funding agreements, sponsorship arrangements, memorandums of understanding and joint venture agreements.
  • Assisting with business structures including creating companies limited by guarantee, incorporated associations, trusts, joint ventures, not-for-profits and charitable foundations.
  • Providing governance advice for not-for-profit organisations, including constitution reform, regulatory compliance, Board policies and membership matters.
  • Advising clients in the not-for-profit sector on corporate governance advice under the Corporations Act, State and Territory incorporated association legislation, ACNC Act, and implementing governance models, policies and procedures to meet those requirements.
  • Advising on regulatory issues such as privacy, protection of health and personal information, data sharing and intellectual property.
  • Advising on legal compliance, risk management and development of policies and procedures.
