Mergers, Acquisitions and Structuring advice

We are experts in providing advice on the most appropriate legal structures for the acquisition, development and operation of disability organisations and NDIS providers.
We act for disability organisations in the acquisition and divestment of aged care services, including portfolios of specialist disability accommodation and residences which are co-located with aged care. We support our clients with tailored advice regarding pre-sale documentation and corporate restructuring, due diligence, corporate finance and capital raising, advising on the transfer of funding agreements, regulatory approval requirements and employment issues.

Regulatory Compliance

We help registered NDIS providers and industry bodies deal with queries arising from NDIS audits and regulatory compliance, including NDIS providers who are transitioned aged care approved providers.
We advise on legislative compliance, governance, risk management and complaint resolution.

Royal Commission and Litigation

Our team has specialist expertise in representing parties in Royal Commissions and other public inquiries. We have a comprehensive understanding of how these inquiries operate and how to effectively protect our clients’ interests and reputation.
We’ve acted for clients in major Royal Commissions including the Royal Commission into Violence, Abuse, Neglect and Exploitation of People with Disability and Royal Commission into Aged Care Quality and Safety.

Guardianship and Decision Making

Our team assists individuals who have family members with a disability to create protections for the long term benefit of people with disability, for example the inclusion of protective trusts in a Will.
We also provide advice to disability organisations when their clients’ capacity, family arrangements, powers of attorney or guardianship orders are unclear or in dispute, so that the provider can ensure that they are compliant with any legal requirements and meet their duty of care to clients. This will include advice regarding the requirements for NDIS plan nominees.
