Nicola is a special counsel in the property team at Russell Kennedy, bringing over 20 years of experience providing legal advice to incorporated and unincorporated associations, corporations, church property trusts, and religious groups involved in sectors like aged care, retirement villages, education, social services, and affordable housing.

Her areas of focus include statutory and accreditation compliance, corporate governance, legal risk management, and commercial matters.

Before joining Russell Kennedy, Nicola held the role of General Counsel and Head of Compliance, Legal, and Risk at the Catholic Diocese of Maitland-Newcastle. She also has substantial experience in infrastructure law, particularly with roads, ports, airports, rail, and water utilities. Nicola's work in this space involved advising organisations such as Transport for NSW, Port Authority of NSW, and Sydney Water, with a focus on acquisitions, leasing, compulsory acquisitions, and sales.

Experience

  • Facilitated the sale of an aged care and retirement village portfolio for a faith-based operator, covering asset sale agreements, land contracts, contract resolutions, and employee management.
  • Provided advice on the termination of retirement villages, including residence contract surrenders and engagement with residents' independent legal representatives in compliance with the Retirement Villages Act 1999.
  • Advised on disputes with residents regarding construction defects, annual budgets, capacity to reside in retirement villages, and other issues.
  • Developed strategies for operators to recover unpaid charges and resolve exit entitlement disputes.
  • Conducted due diligence for the acquisition of a retirement village for a faith-based operator.
  • Provided legal guidance to a luxury retirement village operator on financial management and statutory obligations.
  • Assisted a faith-based education provider in incorporating a system of systemic schools.
  • Guided a social housing provider in navigating contracts with the NSW Land and Housing Corporation.
  • Offered compliance-related advice on various statutory frameworks, including the Aged Care Act 1997, Retirement Villages Act 1999, Education Act 1990, NDIS Act 2013, and other relevant legislation.
