Gilmores is one of the major distributors in the industrial and construction industries of packaging tapes, stretch films, packaging equipment, strapping, construction protection products and other items.
The Russell Kennedy team was led by Principal Andrew Parlour from the firm’s Corporate Advisory / M&A team, with assistance from Rory Maguire, Principal (Corporate Advisory / M&A), Jaqueline Wilson, Associate (Corporate Advisory / M&A), Matthew Goessler, Lawyer (Corporate Advisory/ M/A); Gina Tresidder Special Counsel (Intellectual Property / Information Technology); Libby Pallot, Principal (Employment), Natasha Sims, Associate (Employment); Samantha Taylor, Special Counsel (Property) and Shaun Burmester, Associate (Property).
Russell Kennedy advised UFPI in relation to the acquisition by its subsidiary, UBECCO, on all legal aspects of the transaction.
Russell Kennedy Principal and transaction lead, Andrew Parlour, commented on the success, saying:
“We were thrilled to assist the leaders of UFPI with the successful acquisition of this long-standing contributor to the Australian industrial and construction industry. Completing this transaction in the current COVID-19 climate was a positive result for all involved, and it was pleasing to see our team effectively navigate the various challenges that deal execution is currently facing. We look forward to seeing the business continue to prosper under its new stewardship.”
Dick McBride, executive vice president of UFP Industries, said:
“Australia is an important growth market for UFP Global Holdings, and Gilmores’ strong reputation provides a great entrance to a large consumable packaging market. By joining forces, we create growth opportunities with both new and existing customers, as Gilmores provides a complementary line of protective packaging products that UBEECO will now make available to its customers. We also plan to expand Gilmores’ footprint into New South Wales and Queensland, giving them greater service capacity.
Michael Gilmore, founder of J.C. Gilmore, said:
“We look forward to Gilmores and UBEECO collaborating to expand our geographic reach throughout Australia, as well as the capability to provide our customers new lines of timber products and export packaging such as pallets, skids and crates. This combination will create great benefits for both our team and our customers.”
